Terms & Conditions

Chrysalis Research UK Terms & Conditions

  • The following terms of business apply to all contracts between us. Acceptance of this proposal and commissioning of the project will be taken as acceptance of these terms of business, unless otherwise agreed in writing before commencing the project.

Fees & Invoicing

  • Where the fees payable to Chrysalis Research are £5,000 or more, we will invoice you in two staged payments. The first 50% of the agreed fee for the project will be invoiced on commission of the project. The balance 50% of the agreed fee, plus any additional costs outstanding (including, without limitation, under terms 5, 11, 12, 14, 15, 20 and 24) will be charged on completion of the project and final presentation (or documentation). Such costs will either be included in the second invoice or will be invoiced separately.
  • Where the fees payable do not exceed £5,000 the full (100%) amount will be invoiced on commissioning the project. Outstanding costs (including, without limitation, under terms 4, 10, 11, 13, 14 and 24) will be invoiced on completion of the project.
  • The fees exclude VAT, which will be charged as applicable.
  • Chrysalis Research will charge for [reasonable] supplementary expenses such as hotel, travel and subsistence costs that were not allowed for in the original costing.
  • Payment of each invoice is due from you within 30 days of the invoice date and Chrysalis Research will be entitled to charge interest on all sums outstanding thereafter at a rate of 4% per month calculated on a daily basis payable from the invoice date until the date of payment of the outstanding amount in full.
  • All payments must be made in sterling unless otherwise agreed by Chrysalis Research. For all non-sterling payments an administrative charge may be made.
  • Any quotation for a project made by Chrysalis Research will remain valid for two months.
  • Chrysalis Research reserves the right to adjust the fees and the date of completion of the project in the event that the project proposal is altered after the project is commissioned.

Confirmation, cancellation & termination

  • Chrysalis Research requires written (email, fax or letter) confirmation to commence a project. This will be in the form of a Project Acceptance Form. Once the project has been confirmed in writing, the cancellation charges set out below will apply.
  • If the project is cancelled by you at any time during the project or up to 14 days prior to fieldwork, you will be liable to Chrysalis Research for any and all direct and indirect expenses and costs incurred by Chrysalis Research, its officers, agents or employees and any loss of earnings or other any loss whatsoever.
  • Either of us may terminate this agreement at any time by written notice to the other if the other goes into liquidation, makes a voluntary arrangement with its creditors or has a receiver or administrator appointed over all or part of its business.
